Welcome to the MM. LaFleur Inc. Ready to Run Promotion (“Ready to Run Promotion” or “Promotion”) administered by MM. LaFleur Inc. (“MM. LaFleur” or “us” or “we”). PLEASE READ THESE READY TO RUN PROMOTION TERMS AND CONDITIONS (“PROMOTION TERMS & CONDITIONS”) CAREFULLY. THE PROMOTION TERMS AND CONDITIONS CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND MM. LAFLEUR AND STATE THE TERMS AND CONDITIONS THAT GOVERN YOUR PARTICIPATION IN THE MM. LAFLEUR READY TO RUN PROMOTION. BY PARTICIPATING IN THE READY TO RUN PROMOTION, YOU AGREE TO ABIDE BY THESE PROMOTION TERMS & CONDITIONS. IF YOU DON’T AGREE TO THESE PROMOTION TERMS & CONDITIONS, YOU MAY NOT PARTICIPATE IN THE READY TO RUN PROMOTION.

These Promotion Terms & Conditions are in addition to the MM. LaFleur Terms of Use, but only to the extent necessary to govern your participation in the Ready to Run Promotion. Capitalized terms not defined in these Promotion Terms & Conditions will have the same meaning as in the MM. LaFleur Terms of Use. If these Promotion Terms & Conditions are inconsistent with the MM. LaFleur Terms of Use, these Promotion Terms and Conditions will govern your participation in the Ready to Run Promotion.

1. About the Ready to Run Promotion
   MM. LaFleur may provide certain new and existing customers (“each”, “Participant”) who are running for a public office position at the state or local level with complimentary use of assorted MM. LaFleur items for Participant’s public appearances related to running for such public office position during the Redemption Period (defined below). Participation in the Ready to Run Promotion is by invitation only and completely voluntary. Participants are selected at the sole discretion of MM. LaFleur. Each Participant will be notified about the opportunity to participate in the Ready to Run Promotion via email from MM. LaFleur or via MM. LaFleur social media posts on Instagram and Facebook.

1. Eligibility
   To be eligible to participate in the Ready to Run Promotion, you must be a new or existing MM. LaFleur customer, be over 18 years old, be a legal resident of the United States, and be selected at sole MM. LaFleur discretion for the Ready to Run Promotion. Each Participant must be running for a public office position at the state or local level with an election in the 2024 election cycle and must submit the following information via survey: name, location of public office position and details, including, but not limited to public office position name, location, description, and election timing. Each Participant must have a unique email. Duplicate email address submissions are not allowed. MM. LaFleur reserves the right to terminate and disqualify you at any time from participating in the Ready to Run Promotion if you don’t comply with these Promotion Terms & Conditions.

1. Start/End Dates
   The Ready to Run Promotion begins on January 22nd, 2024 and ends November 30, 2024. (“Promotion Period”). Each Ready to Run Promotion must be redeemed between February 26, 2024 EST and April 30, 2024 EST (“Redemption Period”).

1. Ready to Run Promotion
   To participate in the Ready to Run Promotion you must be a new or existing MM. LaFleur customer, must be running for a public office position at the state or local level with an election in the 2024 election cycle and submit the following information via survey: name, location of public office position and details, including, but not limited to public office position name, location, description, and election timing. Each submission will be reviewed and processed by MM. LaFleur and MM. LaFleur will select, at its sole discretion, who is eligible to participate in the Promotion. For all eligible Participants, MM. LaFleur will email an assortment link which can be used to select a maximum of three (3) MM. LaFleur items to use for public appearances during Participant’s campaign for public office (“Promotion Items”). All eligible Participants will receive a unique code (“Promo Code”) to place their own order.  MM. LaFleur has sole discretion to choose item assortment and availability. Requests related to the Ready to Run Promotion will be addressed and processed at a first come, first serve basis in accordance with state and local law and/or until supplies last. MM. LaFleur is not responsible for undelivered, misplaced or otherwise not received Ready to Run Promotion emails or orders.
   
   After the expiration of the Promotion Period, Participants agree to send the Promotion Items to Bottomless Closet or any other charity of MM. LaFleur’s choice based on the label provided to each Participant.
   The Promo Codes provided to Participants are redeemable only during the Redemption Period and issued at the sole discretion of MM. LaFleur. Each Participant is responsible for all applicable taxes, shipping and handling charges that may apply to any purchase under these Promotion Terms and Conditions.
   
   By participating in the Ready to Run Promotion, you agree to MM. LaFleur’s collection, use, storage, and processing of your personal information and acknowledge that you have read and accepted MM. LaFleur’s Privacy Policy.

1. Restrictions
   In addition to the restrictions you agreed to in the MM. LaFleur Terms of Use, you agree that the following activities are expressly prohibited and engaging in any of these activities will be grounds for immediate termination and disqualification from the Ready to Run Promotion and may lead to the forfeiture of existing Ready to Run Promotion invitations.
   
   • Ready to Run Promotion is non-transferable to others.
   • Ready to Run Promotion Promo Codes are not redeemable or exchangeable for cash.
   • Ready to Run Promotion can be used only for items from MM. LaFleur Ready to Run assortment and is redeemable online only.
   • You can redeem a maximum of three (3) MM. LaFleur items as part of the Ready to Run Promotion, subject to applicable election laws in your jurisdiction.
   • Maximum complimentary usage period is nine (9) months.
   • All items provided under the Ready to Run Promotion are for your public appearances as a candidate for public office (not for personal use).
   • All items loaned  under the Ready to Run Promotion must be returned to Bottomless Closet or other MM. LaFleur pre-determined charity at the end of the Promotion Period.
   • Ready to Run Promotion cannot be combined with any other MM. LaFleur Promotion.
   • Spam, bulk distribution of invitations, distribution to strangers, or any other promotion of your Ready to Run Promotion invitations that would constitute or appear to constitute unsolicited commercial e-mail or spam under any applicable law or regulation is strictly prohibited.
   • Fraud, attempted fraud, or abuse of the Ready to Run Promotion or Promotion Terms & Conditions is strictly prohibited.
   • Selling, trading, bartering, or providing anything of value to your invite beyond the Ready to Run Promotion invitation, or otherwise using your Ready to Run Promotion Invitations or Ready to Run Promotion Discounts for promotional purposes is strictly prohibited.
   • Limited to one Ready to Run Promotion promo code per Participant.
   • MM. LaFleur employees and persons living in the same household are not eligible for the Ready to Run Promotion.

1. General Release and Indemnification

You agree to indemnify and hold harmless MM. LaFleur, its affiliates, and their respective officers, directors, employees, and agents (the “Indemnified Parties” ) from any and all liabilities, claims, expenses and damages, including reasonable attorneys’ fees and costs, arising out of or in any way related to your breach of these Terms and Conditions or from or based any action or inaction by you in connection with your participation in the Promotion. You agree that the provisions in this section are in addition to the indemnification obligations in the MM. LaFleur Terms of Use and will survive any termination of the Promotion Period. 

By entering the Promotion, you hereby release the Indemnified Parties and their successors from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Promotion or delivery, misdelivery, acceptance, possession, use of or inability to use the Promotion Items (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or any other theory. 

If you are a California resident, you hereby waive California Civil Code Section 1542, which states, “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.” The foregoing release does not apply to any claims, demands, or any losses, damages, rights and actions of any kind, including personal injuries, death or property damage for any unconscionable commercial practice by an Indemnified Party or for such party’s fraud, deception, false, promise, misrepresentation or concealment, suppression or omission of any material fact in connection with the Site or any services provided hereunder.

7. Additional Terms
   MM. LaFleur reserves the right at any time to modify or discontinue the Ready to Run Promotion, either temporarily or permanently (or any part thereof). If we modify or discontinue the Ready to Run Promotion, we will let you know via email or by posting a notice on the MM. LaFleur website. MM. LaFleur will not be liable to you in the event of any modification, suspension or discontinuance of the Ready to Run Promotion. MM. LaFleur reserves the right to amend, modify or waive these Promotion Terms & Conditions at any time in its sole discretion.
   
   MM. LaFleur is not affiliated, associated, authorized, endorsed by, or in any way officially connected with any political parties, Participants’ political or personal platforms, beliefs and views. The Ready to Run Promotion should not be construed as partisan or supporting a particular candidate or political party. MM. LaFleur reserves the right to deny a Participant participation in the Ready to Run Promotion based on egregious or hateful political views. It is the responsibility of the Participant, not M.M.LaFleur, to confirm their eligibility to participate in the Promotion pursuant to all applicable federal, state, and local laws

As a C corporation, M.M.LaFleur is prohibited from supporting candidates through campaign donations in the following states:
